These Terms of Service ("Terms") govern your use of the "AI Code Rescue / Vibe Coding Fix" services ("Services") provided by MobiDev Corporation ("Company", "we", "us", or "our"). By placing an order, you agree to be bound by these Terms.
1. Scope of Services
We provide B2B IT consulting, code auditing, and custom software refactoring services. The scope of work is strictly limited to the deliverables explicitly defined in your selected package at checkout. We do not provide full system rebuilds, ongoing maintenance, or guarantee compatibility with undocumented third-party architectures unless explicitly agreed upon in writing.
2. Payment and the hold mechanism (auth & capture)
We utilize a two-step payment authorization process to ensure a risk-free experience:
- Authorization: upon placing an order, we place a temporary hold (authorization) on your payment method for the agreed amount. Your card is not immediately charged.
- Capture: the funds will only be captured (officially charged) after the Services have been delivered and the Review Window has expired, or upon your explicit approval.
3. Review window and satisfaction guarantee
We offer a 100% Satisfaction Guarantee governed by the following conditions:
- 48-hour review window: upon delivery of the audit report or code fixes, you have forty-eight (48) hours to review the work.
- Cancellation: if you determine the deliverables do not provide value, you must notify us in writing within this 48-hour window. We will cancel the payment authorization, and the hold on your funds will be released.
- Automatic approval: if we do not receive a cancellation request within the 48-hour Review Window, you are deemed to have accepted the deliverables, and we will automatically capture the payment.
- Abuse protection: we reserve the right to refuse future service or revoke this guarantee for any user who exhibits a pattern of abusing this refund policy.
4. Intellectual property rights
- Client property: you retain 100% ownership of your original codebase, input materials, and all intellectual property you provide to us.
- Transfer of rights: you will acquire full ownership rights to the deliverables (including bug fixes, code improvements, and reports) generated by us only upon the successful capture of full payment.
- Effect of cancellation: if you invoke the Satisfaction Guarantee and the payment authorization is canceled, all rights, title, and interest in our deliverables remain strictly with MobiDev Corporation. You are expressly prohibited from deploying, copying, reverse-engineering, or utilizing the rejected deliverables in your codebase or any other project.
5. Confidentiality and data processing
We take the security of your proprietary information seriously:
- Restricted access: your codebase and input materials will be accessed exclusively by our vetted employees and independent contractors, and strictly for the sole purpose of providing the Services to you. All personnel are bound by stringent Non-Disclosure Agreements (NDAs).
- AI tools usage: in delivering the Services, we may utilize secure, professional-tier third-party Artificial Intelligence (AI) tools. We guarantee that your code and data will never be used to train public AI models or shared with unauthorized third parties.
6. Limitation of liability and governing law
THE SERVICES ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOBIDEV CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OUR SERVICES. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law provisions.
